1. Accepting the Terms of Service

By accessing and logging into the Services, you are indicating your agreement to be bound by our Privacy Policy. It is important that you carefully read and understand our Privacy Policy, which is incorporated herein by reference. Together, the Privacy Policy and this User Agreement (collectively referred to as the "Agreement") constitute the entire agreement between you and AniReel. The 'Services' provided hereunder include, but are not limited to, digital manga, motion comics (animated video content with synchronized audio), and other audio-visual materials made available on the Platform. If you do not wish to accept the terms of this Agreement, you are not permitted to access or use the Services.

If you are accessing and using the Services on behalf of another person or entity, you confirm that you have the legal authority to enter into this Agreement on their behalf. In this Agreement, the terms "you" or "your" include both yourself and the person or entity you represent.

During your use of the Services, it is important that you adhere to all relevant guidelines and rules that govern the utilization of the service, its features, and any associated offers. These guidelines and rules may undergo periodic updates and are deemed an essential component of the Agreement, incorporated herein by reference.

2. Ability to Accept Terms of Service

To access and use the Services, you must be at least eighteen (18) years old, or comply with the minimum age specified by the law in your jurisdiction if it is higher. If you are below the required minimum age, you are not authorized to use the Service. By using the Service, you represent and warrant that you meet this age requirement. Failure to meet this requirement will result in the termination of your access to and use of the Service.

3. Updates to the Terms of Service

We may occasionally update these Terms, for instance when we enhance our Services, combine multiple apps or services, or adapt to regulatory changes. We'll make reasonable efforts to inform all users of any significant modifications, such as by posting a notice on our Platform. However, we recommend that you regularly review the Terms for any updates. The "Last Updated" date at the beginning of the Terms will indicate the effective date of the updated Terms. By continuing to access or use the Services after the new Terms have been introduced, you signify your acceptance of the updated Terms. If you do not agree to the new Terms, you must stop using the Services.

4. Your Use of and Access to Our Services

Your use of and access to the Services are governed by the following Terms and all applicable laws and regulations.

• You are prohibited from making unauthorized copies, performing screen recordings, or capturing audio-visual streams of the Services or any included content.
• You may not modify, adapt, or translate the Services or any included content.
• You may not reverse engineer, disassemble, or decompile the Services or any included content.
• Creating derivative works of the Services or any included content is also prohibited.
• You must not attempt to discover or determine the source code, algorithms, methods, or techniques used in the Services or any derivative works. This includes, but is not limited to, files, tables, documentation, or any portion thereof.
• You are not permitted to upload, share, or use any content that infringes on the copyrights, trademarks, or other intellectual property or privacy rights of any individual or entity, unless you have the necessary rights or permissions to use such content.
• You may not share content that violates the privacy rights of others, such as personal information or images that are shared without the consent of the individuals involved.
• You are not permitted to post, distribute, or utilize any material that is defamatory towards any person, or content that is indecent, offensive, explicit, bigoted, or inflammatory.
• You agree not to utilize or initiate any automated system that accesses the Service in a way that aims to falsify the presence of a user accessing the site in an attempt to artificially inflate "pageviews."

AniReel reserves the right to terminate, modify, or update any part of the Service at our discretion and without prior notice.

5. Copyrights

We take a firm stance against the use of copyrighted material without proper authorization. Unauthorized use of copyrighted works may result in a violation of our policies.

However, it is important to note that not all unauthorized uses of copyrighted content automatically constitute infringement. In many jurisdictions, exceptions to copyright infringement exist. This includes the fair use doctrine in the United States and fair dealing exceptions in the European Union, as well as similar provisions in other countries that allow for the use of copyrighted works without permission under specific circumstances.

If you are the copyright owner or an authorized agent and believe that any content on AniReel infringes upon your copyrights, you can follow the Digital Millennium Copyright Act (DMCA) procedure to submit a notification. To do so, please send an email to [email protected] with the subject line "Copyright" and provide the following information:

• Include a physical or electronic signature of the authorized person acting on behalf of the copyright owner.
• Clearly identify the copyrighted work that has been infringed. If there are multiple works involved, you can provide a representative list.
• Provide sufficient information about the infringing material or activity to help the service provider locate it.
• Include your contact information, such as your address, phone number, and email address.
• State that you genuinely believe, in good faith, that the use of the material is not authorized by the copyright owner, its agent, or the law.
• Verify that the information provided in the notification is accurate to the best of your knowledge, and include a statement, under penalty of perjury, affirming that you are authorized to act on behalf of the copyright owner.

Please note that failing to comply with all the requirements may result in the invalidation of your DMCA notice.

If your content has been taken down or your access to it has been disabled, and you firmly believe that the content is not infringing or you have the appropriate authorization, you have the option to submit a counter-notice. To do so, you can send the following information via email to [email protected]:

• Provide your physical or electronic signature.
• Identify the content that was removed or disabled and specify its previous location.
• State that you have a good faith belief that the content was removed or disabled due to a mistake or misidentification.
• Include your name, address, phone number, email address, and consent to the jurisdiction of the federal court in San Francisco, California. Also, declare that you will accept service of process from the person who filed the original notification of alleged infringement.

In the event that AniReel receives a counter-notice from a user, we may choose to forward a copy of the counter-notice to the original complainant. The complainant will then have a period of 10 business days to either replace the removed content or cease disabling it. If the copyright owner does not take legal action by filing a court order against the content provider, member, or user, AniReel may, at its own discretion, restore the removed content or reinstate access to it. Please be aware that this process usually takes 30 business days or more from the receipt of the counter-notice.

Before submitting a notice, please be aware that submitting a misleading or fraudulent notice may result in liability for damages under the Digital Millennium Copyright Act (DMCA) 512(f) or similar laws applicable in other regions.

6. Advertisements and Third-Party Offerings

a) As stated in the Agreement, AniReel possesses the right to exhibit advertisements, whether self-created or from third parties, to users in both online and offline settings. These advertisements are present within the Services and can manifest in various forms, such as promotional messages utilizing different technologies, with the purpose of promoting products or services offered by third-party advertisers. These advertisements may encompass scripts, text, graphics, audio, video, or a combination of these elements. Furthermore, the advertisements may include links that direct users to external websites or landing pages. Notwithstanding the foregoing, users who have purchased a valid VIP Membership will be entitled to an ad-free experience while accessing both Manga and Motion Comics. Please note that 'ad-free' specifically refers to the removal of third-party commercial advertisements and does not include Funtoon's own content recommendations or promotional notices.

b) When using the Services provided by AniReel, you may encounter links to third-party services, content, and integrations with platforms like social media sites. It is important to note that AniReel explicitly states that it does not exercise control over, endorse, sponsor, recommend, or assume responsibility for these third-party offerings. Your decision to engage with any linked third-party service, content, or integration is entirely at your own risk and is subject to the terms, conditions, and privacy policies specified by those third-party services. AniReel has no authority over the content provided on external sites or resources, and therefore, disclaims any responsibility for them or any resulting loss or damage. If you have any concerns or issues pertaining to a particular third-party service, resource, or any provided links, it is advisable to directly contact the relevant third-party service or resource for assistance.

7. Purchases and Auto-Renewing Subscriptions

Purchases and Subscription Auto-Renewal

VIP Membership: We offer a premium subscription known as 'VIP'. By subscribing to VIP, you will receive specific benefits as described in the App's purchase page, primarily including the removal of advertisements in Manga and Motion Comics. All subscription fees are processed through third-party accounts (Apple/Google).

If you choose to purchase subscriptions, they can be acquired through iTunes and Google Play. In these instances, the management of these purchases must be handled through your respective third-party account. Subscriptions will continue to renew automatically until you cancel them.

When you decide to make a purchase for a service, you have the option to use your Apple ID or Google Play account for payment. The charges for the purchase will be billed to your respective Apple ID or Google Play account, following the terms that were presented to you during the purchase process and the general terms that apply to your Apple ID or Google Play account. Please be aware that depending on your location, you might be liable for specific sales taxes that could fluctuate over time.

Unless you choose to cancel, subscriptions will continue to renew automatically. Once your initial subscription period and any subsequent periods have ended, the subscription will renew automatically, adhering to the price and term you initially agreed upon when subscribing. It's important to note that if you benefited from a discount or promotional offer, the price may increase during subsequent renewal periods as per the terms of that specific offer.

Canceling a Subscription

To stop the automatic renewal of your subscription or to make changes or terminate your subscription, you need to access your Apple ID or Google Play account and follow the provided instructions to manage or cancel the subscription. It's important to note that even if you have deleted the app from your device, you still need to follow the cancellation process through your respective account.

For instance, if you initially subscribed using your Apple ID, the cancellation process will be handled by Apple, not AniReel. To cancel a purchase made with your Apple ID, you can navigate to the "Settings" section within the app and follow the instructions provided to initiate the cancellation.

Likewise, if you subscribed through Google Play, the cancellation process will be managed by Google. To cancel a purchase made via Google Play, simply open the Google Play app on your mobile device, go to "Settings," and follow the provided steps. When you cancel a subscription, you will still have access to the service until the end of your current subscription period. After that, the subscription will not renew, and you will no longer be charged for it.

In the event that you request a refund or revoke a payment made through your Apple ID or Google Play account, AniReel reserves the right to promptly terminate your subscription. This action is based on your explicit indication that you no longer desire to maintain a subscription with AniReel.

8. Disclaimer of Warranties

Please be aware that when using the service and/or digital content, you assume full responsibility and do so at your own risk. Any information or advice, whether communicated orally or in writing by any representative of AniReel, should not be considered a warranty. The service and/or digital content are provided on an "as-is" basis, without any defects, and without any form of warranty.

AniReel and its licensors expressly disclaim all express, implied, or statutory warranties. This includes warranties of merchantability, fitness for a particular purpose, accuracy, quiet enjoyment, satisfactory quality, implied warranties or conditions of non-infringement of third-party rights, and any equivalent laws applicable in any legal jurisdiction. AniReel does not warrant or guarantee that the service will be uninterrupted, error-free, or free from viruses, malicious code, or other harmful components. Additionally, AniReel does not provide any assurance of the security of the service or your access to and use of it.

AniReel bears no responsibility for any harm caused to your mobile devices, tablets, laptops, desktop devices, computer systems, other hardware, or software, or any loss or damage of data, personal injury, or property damage resulting from your utilization of the Services. AniReel does not provide any assurances or guarantees regarding the accuracy or entirety of the content contained within the service or the content of any linked websites. Consequently, AniReel cannot be held accountable for any errors, inaccuracies, or omissions present in the content.

AniReel does not offer any guarantees, endorsements, or warranties for products or services advertised or provided by third parties through the service or linked services, including banners or other advertisements. Furthermore, AniReel assumes no responsibility for the monitoring of transactions between you and third-party product or service providers.

The advice or information obtained from AniReel or through the service should not be considered as warranties or statements beyond what is expressly stated in this section. Please note that certain jurisdictions may have laws that prohibit the exclusion or limitation of the aforementioned warranties. In such jurisdictions, the limitations mentioned above, or parts thereof, may not be applicable to you.

9. Limitation of Liability

Even if AniReel has been informed of the possibility of such damages, you assume the risk of using the AniReel website, AniReel applications, user-generated digital content, and other components of the service on your own.

You explicitly acknowledge that AniReel is not responsible for any third-party content or defamatory, offensive, or illegal conduct, and you fully assume the risks associated with such harm or damage. Without limiting the foregoing, the total liability of AniReel and its affiliates under this agreement for any claims arising from or related to this agreement is limited to the actual amount of service fees paid by you under this agreement.

Certain jurisdictions may not allow the exclusion or limitation of incidental or consequential damages. If these laws apply to you, the above exclusions or limitations, in whole or in part, may not apply to you, and you may have additional rights. You agree that the remaining provisions of this agreement shall remain valid and enforceable to the fullest extent permitted by applicable law.

10. Exclusion of Warranties

In certain jurisdictions, the exclusion of specific warranties or the limitation or exclusion of liability for incidental or consequential damages may not be permitted. As a result, some of the limitations on warranties mentioned earlier may not apply to you. In such cases, our warranties and liability will be limited to the maximum extent allowed by the applicable laws.

11. Indemnification

Upon accepting these Terms, you agree to indemnify, defend, and hold AniReel, its parent companies, affiliated companies, and all their respective officers, directors, employees, agents, and advisors harmless from any liabilities, claims, expenses, and costs (including legal fees) that may arise due to your violation of these Terms or the violation of these Terms by any user of your account. You also agree to indemnify AniReel for any failure on your part to fulfill your obligations and warranties as outlined in these Terms.
